Corporate litigation revolves around disputes concerning the internal organisation of a company as well as shareholder rights. The disputes solved through corporate litigation are, inter alia, connected to

  • the relationship between shareholders (or former shareholders) and the company,
  • the relationship of shareholders amongst each other,
  • the liability of directors,

Corporate matters may arise not only out of contractual issues, but also from tort and infringement of regulatory rules. While it is usually up to the board of directors of a company to bring suit against third parties (including directors and officers), it may, depending on the applicable law, also be possible for shareholders to initiate legal action on behalf of or for the account of the company through derivative suits.
